These Terms & Conditions ("Terms") govern your access to and use of the website, platform, and services operated by The Closing Table, LLC, a North Carolina limited liability company ("Company," "we," "us"). By accessing our website, subscribing to our platform, or engaging our transaction or listing coordination services, you agree to be bound by these Terms.

If you subscribe to our platform or engage our à la carte coordination services, a separate Subscription Services Agreement and/or Transactional Coordination Services Agreement will govern the specific terms of that engagement. Where those agreements conflict with these Terms, the specific agreement controls.

1. Who We Are

The Closing Table provides a real estate transaction and listing coordination platform, along with optional done-for-you coordination services, to real estate agents, teams, brokerages, and real estate investors. We are a technology and operations-support company. We are not a licensed real estate brokerage and do not represent any party to a real estate transaction.

2. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms, whether on your own behalf or on behalf of a business entity, to use our website or services.

3. Accounts and Access

If you create an account or are granted access to our platform, you're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use.

4. Fees, Subscriptions, and Payment

Subscription fees, per-transaction coordination fees, and any other charges are described at checkout and in your Subscription Services Agreement or Transactional Coordination Services Agreement. By providing a payment method, you authorize us to charge that payment method for the fees you've agreed to, including recurring subscription charges billed automatically each billing cycle until cancelled.

Except as required by law, fees are non-refundable once earned or billed, including for partial periods of service.

5. No Brokerage, Legal, or Financial Relationship

Nothing on this website or provided through our services constitutes real estate brokerage services, legal advice, tax advice, or financial advice. Any coordination services we provide are administrative and clerical in nature. Your broker or agent of record remains solely responsible for all licensed real estate activity, contract review, disclosures, and legal compliance related to your transactions.

6. Acceptable Use

You agree not to:

  • Use our website or platform for any unlawful purpose or in violation of any applicable real estate licensing law, MLS rule, or fair housing law
  • Attempt to gain unauthorized access to our systems or another user's account
  • Upload or transmit any material that infringes on the rights of others
  • Interfere with or disrupt the operation of our website or platform

7. Intellectual Property

The Closing Table owns the website, platform, software, templates, workflows, checklists, and branding made available through our services. You may not copy, reproduce, or create derivative works from these materials without our written permission.

8. Third-Party Services

Our platform integrates with third-party services, including payment processing (Square) and electronic signature services (DocuSign). Your use of those services is also subject to those providers' own terms and policies. We are not responsible for the availability or performance of third-party services.

9. Disclaimer of Warranties

Our website and platform are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the fullest extent permitted by law, The Closing Table will not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services. Our total liability for any claim will not exceed the fees you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold The Closing Table harmless from any claims, damages, or expenses arising from your breach of these Terms, violation of law, or misuse of our website or services.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above. Continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes will be resolved in the state or federal courts located in North Carolina.
